IMPORTANT NOTICE: BINDING ARBITRATION AND CLASS ACTION WAIVER

These Terms contain a binding arbitration provision and class action waiver that affect your legal rights. Please read this document carefully before using our services.

1. INTRODUCTION AND ACCEPTANCE

These Terms of Service and Acceptable Use Policy ("Terms") constitute a legally binding agreement between you (whether an individual or entity) and Wired Tech LLC, a North Carolina limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the digital infrastructure services we provide through www.wiredproxies.com (the "Site") and all other channels of distribution, including but not limited to Discord, Telegram, WhatsApp, email, direct messaging, authorized resellers, or direct transactions.

By purchasing, accessing, or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity and its affiliates to these Terms. If you do not agree to these Terms or lack such authority, you must not access or use our Services.

You further represent and warrant that you are at least eighteen (18) years of age, have the legal capacity to enter into binding contracts under applicable law, and are not prohibited from using our Services by any applicable law, regulation, or judicial or administrative order. Your continued use of our Services following any modifications to these Terms constitutes your acceptance of such changes.

2. SERVICES PROVIDED AND LIMITATIONS

Nature of Services

Wired Tech LLC provides digital infrastructure tools and networking solutions, including but not limited to proxy services, IPv4 and IPv6 address allocations, bandwidth provisioning, VPN and proxy endpoints, reverse proxy configurations, SOCKS and HTTP(S) proxy endpoints, and related telecommunications and networking tools (collectively, the "Services"). These Services are provided as neutral technical tools designed to facilitate network connectivity and data transmission according to your specifications and requirements.

Important Service Limitations and Disclaimers

You expressly acknowledge and agree that our Services function solely as technical infrastructure tools. We do not operate as a publisher, content intermediary, telecommunications carrier, or common carrier with respect to any content or data transmitted through our Services. We exercise no editorial control over, and assume no responsibility for, the content, nature, or destination of your network traffic.

Furthermore, we provide no guarantee regarding the deliverability, connectivity, or accessibility of any specific website, platform, or third-party service through our infrastructure. We cannot and do not control how third-party websites, platforms, carriers, or services may accept, block, filter, detect, rate-limit, or otherwise treat traffic routed through our Services. The effectiveness of our Services may vary based on numerous factors outside our control, including but not limited to third-party security measures, geographic restrictions, carrier policies, and platform-specific rules.

You acknowledge that we make no representations or warranties regarding performance metrics, uptime guarantees, compatibility with any third-party platform or service, or compliance with any third-party terms of service or acceptable use policies. We expressly disclaim any responsibility for ensuring that your use of our Services complies with the terms, conditions, or requirements of any third-party service you may access through our infrastructure.

Our Services do not include legal, regulatory, compliance, or business advisory services. You are solely responsible for obtaining independent professional advice regarding the legality and appropriateness of your intended use of our Services in your jurisdiction and for your specific use case.

3. ACCOUNT MANAGEMENT AND SECURITY

Registration and Account Information

To access certain features of our Services, you must create and maintain an account with accurate, current, and complete information. You agree to promptly update your registration and billing information to ensure its continued accuracy. Providing false, misleading, or outdated information constitutes a breach of these Terms and may result in immediate termination of your account and Services.

You are solely responsible for all activities that occur under your account, regardless of whether such activities are authorized by you. This includes activities by employees, agents, or any third parties who gain access to your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware.

Security Responsibilities

The security of your account credentials, including passwords, API keys, authentication tokens, and any devices or endpoints used to access our Services, is entirely your responsibility. You must implement appropriate security measures to protect your credentials from unauthorized access or disclosure. We strongly recommend using unique, complex passwords, enabling multi-factor authentication where available, and regularly reviewing your account activity for any suspicious behavior.

Loss of access to your registered email address, messaging handles, authentication methods, or any other means of account recovery does not entitle you to replacement Services, credits, refunds, or account recovery assistance beyond our standard verification procedures. We shall not be liable for any loss or damage arising from your failure to adequately safeguard your account credentials or from unauthorized access resulting from your security practices.

Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account and access to Services immediately and without prior notice if we reasonably suspect any of the following: security breaches or compromises affecting your account or our systems; fraudulent activity or payment disputes; violations of these Terms or applicable law; activities that pose a risk to our infrastructure, other users, or third parties; or receipt of complaints or legal process regarding your use of our Services.

4. ACCEPTABLE USE POLICY

Prohibited Activities

Your use of our Services must comply with all applicable laws, regulations, and these Terms. You agree not to use our Services, directly or indirectly, for any purpose that is unlawful, prohibited by these Terms, or harmful to us, our users, or third parties. Without limiting the generality of the foregoing, you specifically agree not to use our Services to:

Violate any applicable laws or regulations, including but not limited to those governing export controls, economic sanctions, privacy and data protection, consumer protection, anti-spam legislation, telecommunications regulations, or any industry-specific standards or requirements applicable to your use case. This includes compliance with the laws of all jurisdictions through which your traffic may transit or where it may originate or terminate.

Engage in harmful or malicious communications, including transmitting, facilitating, or enabling spam, phishing attempts, fraudulent schemes, malware, viruses, ransomware, or other harmful code; harassment, threats, or intimidation of any person; content that promotes, encourages, or facilitates illegal activities; or any communication that violates the rights of others.

Infringe intellectual property or confidentiality rights by transmitting, storing, or processing content that infringes upon or misappropriates any third party's intellectual property rights, including copyrights, trademarks, trade secrets, patents, or other proprietary rights; or violating any confidentiality, non-disclosure, or fiduciary obligations you may have to third parties.

Abuse or compromise systems and networks through activities such as interfering with, disrupting, or degrading the performance of any network, system, or service (including ours or those of third parties); attempting to gain unauthorized access to any systems, data, or accounts; reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying algorithms of our Services; or engaging in any form of network abuse or denial of service attacks.

Circumvent security or access control measures by attempting to bypass, defeat, or neutralize any security mechanism, authentication system, rate limiting, anti-bot measures, anti-fraud systems, CAPTCHAs, multi-factor authentication, IP blocks, geographic restrictions, purchase limitations, or any other access control measures implemented by third-party websites, services, applications, or platforms. This prohibition extends to using our Services to mask, hide, or misrepresent your identity or location for the purpose of evading such measures.

Engage in unauthorized automation that exceeds the permitted or intended usage of third-party services, including using automated systems, bots, scrapers, crawlers, or scripts to access, interact with, or collect data from third-party services in violation of their terms of service, robots.txt files, or stated usage limitations.

Redistribute or resell Services without authorization by sublicensing, reselling, time-sharing, or otherwise redistributing our Services to third parties without our express written permission; sharing account credentials with unauthorized parties; or allowing third parties to access your account in violation of these Terms.

Enforcement and Consequences

We reserve the right, in our sole discretion, to investigate any suspected violations of these Terms or any activity that we believe may be harmful to our Services, users, or reputation. Such investigations may include monitoring your use of our Services, analyzing traffic patterns, and cooperating with law enforcement authorities or affected third parties.

Upon discovering or reasonably suspecting any violation of these Terms, we may take any action we deem appropriate, including but not limited to: issuing warnings; suspending or terminating your account and Services; withholding any refunds or credits; reporting violations to relevant law enforcement agencies, regulatory bodies, or affected third parties; and pursuing any available legal remedies, including seeking injunctive relief or damages.

You acknowledge and agree that any attempt to use our Services to circumvent security measures, authentication systems, or access controls of third-party services is undertaken entirely at your own risk and responsibility. We expressly disclaim all liability for any fines, penalties, losses, claims, or legal actions arising from such activities or from your violation of any third-party terms of service.

5. VERIFICATION AND COMPLIANCE

Identity Verification Requirements

To maintain the integrity and security of our Services and to comply with applicable legal and regulatory requirements, we reserve the right to require identity verification for any account at any time. Such verification may include, but is not limited to, provision of government-issued identification documents, proof of address, business registration documents, beneficial ownership information, and verification of payment methods.

Enhanced due diligence procedures apply to high-volume purchasers, resellers, business accounts, or any accounts exhibiting unusual or suspicious activity patterns. You agree to cooperate fully with any verification requests and to provide all requested documentation in a timely manner. Failure or refusal to complete verification procedures when requested constitutes grounds for immediate suspension of Services, withholding of delivery, or account termination without refund.

Ongoing Monitoring and Compliance

We maintain the right to monitor accounts and usage patterns for compliance with these Terms and applicable law. This monitoring may include automated systems that analyze traffic patterns, destination hosts, usage volumes, and other metrics to identify potential violations or suspicious activity. You consent to such monitoring as a condition of using our Services.

6. CUSTOMER RESPONSIBILITIES AND OBLIGATIONS

Legal Compliance and Due Diligence

You bear sole and complete responsibility for ensuring that your use of our Services complies with all applicable laws, regulations, industry standards, and third-party terms of service in all relevant jurisdictions. This includes, without limitation, understanding and complying with the legal requirements of your jurisdiction, any jurisdiction through which your traffic transits, and any jurisdiction where your traffic terminates.

You must conduct appropriate due diligence to determine whether your intended use of our Services is lawful and appropriate for your purposes. This includes understanding any licensing, registration, or regulatory requirements that may apply to your activities. We provide no legal advice or assurance regarding the legality of any particular use case.

Content and Traffic Responsibility

You retain full ownership of and responsibility for any content, data, or traffic transmitted through our Services. While we do not routinely monitor or pre-screen content, we reserve the right to remove, block, or refuse to transmit any content that violates these Terms or applicable law. You acknowledge that we may be required by law to preserve or disclose certain information about your use of our Services.

Third-Party Risks and Acceptance

You expressly acknowledge and accept all risks associated with using our Services to access third-party websites, platforms, or services. These risks include but are not limited to: carrier blocking or filtering of traffic; implementation of anti-bot or anti-proxy measures; rate limiting or throttling; IP-based geographic restrictions; account suspension or termination by third parties; and legal or regulatory actions by third parties or governmental authorities.

The occurrence of any such events or outcomes does not constitute a failure of our Services and does not entitle you to any refund, credit, or damages. You agree to indemnify and hold us harmless from any consequences arising from your interaction with third-party services through our infrastructure.

7. PAYMENTS, BILLING, AND REFUNDS

Payment Terms and Methods

All fees for Services are due in advance unless otherwise specified in writing. By providing payment information, you authorize us and our payment processors to charge the payment method provided for all fees and charges related to your use of our Services. You are responsible for providing accurate and current payment information and for promptly updating such information if it changes.

You are solely responsible for all taxes, duties, levies, and assessments imposed by any governmental authority in connection with your use of our Services, excluding taxes based solely on our net income. If we are required to collect or pay taxes for which you are responsible, the appropriate amount shall be charged to and paid by you unless you provide us with a valid tax exemption certificate.

Subscription Services and Renewals

Subscription-based Services automatically renew at the end of each billing period unless cancelled in accordance with the cancellation procedures specified in your account dashboard or billing notifications. You must cancel your subscription before the renewal date to avoid charges for the next billing period. Cancellation takes effect at the end of the current paid period, and no partial refunds are provided for unused time within a billing period except as required by applicable law.

Refund Policy

Unless otherwise required by applicable law or expressly stated in a separate written agreement, all sales are final and non-refundable. This no-refund policy applies regardless of whether you use the Services or are satisfied with their performance. We specifically reserve the right to withhold or deny refunds if we reasonably suspect that Services were used for Prohibited Uses or in violation of these Terms.

Chargebacks and Payment Disputes

Initiating a chargeback, payment dispute, or reversal without first attempting to resolve the issue directly with us constitutes a material breach of these Terms. In the event of an unauthorized chargeback or payment dispute, we reserve the right to suspend or terminate your Services immediately, pursue collection of all amounts owed plus applicable fees and costs, report the dispute to credit reporting agencies, and take any other legal action available to us.

8. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in and to our Services, including our platform, software, documentation, APIs, user interfaces, designs, logos, and any materials we provide, remain our exclusive property or that of our licensors. These Terms do not grant you any rights to our intellectual property except for the limited, non-exclusive, non-transferable, and revocable license to use our Services in accordance with these Terms.

Any feedback, suggestions, or ideas you provide regarding our Services become our property without compensation to you. We may use such feedback for any purpose without restriction or obligation to you. You hereby irrevocably assign to us all rights, title, and interest in and to any such feedback.

9. DATA PRIVACY AND SECURITY

Data Collection and Use

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy. We implement commercially reasonable security measures to protect data transmitted through our Services, but we cannot guarantee absolute security given the inherent risks of internet-based services.

Operational Data and Logs

You expressly consent to our collection, processing, and retention of operational data and logs necessary for providing Services, ensuring security, investigating abuse, and complying with legal obligations. This includes but is not limited to metadata such as TLS SNI information, destination hostnames and IP addresses, timestamps, user-agent strings, session identifiers, traffic volumes, and related technical data.

We retain such operational data for commercially reasonable periods as determined by business, security, and legal requirements, currently not less than twelve (12) months. We may preserve data for longer periods when necessary for ongoing investigations, legal proceedings, or compliance with legal obligations. We will cooperate with law enforcement agencies, courts, regulators, and affected third parties as required by law and may disclose account and usage information when legally required or to investigate and mitigate abuse.

10. WARRANTIES AND DISCLAIMERS

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, AND AVAILABILITY.

We make no warranty that our Services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not warrant the accuracy or completeness of any information provided through our Services. No advice or information obtained from us or through our Services creates any warranty not expressly stated in these Terms.

Assumption of Risk

You acknowledge and agree that your use of our Services is at your sole risk. You assume all risks associated with your use of our Services, including but not limited to risks of data loss, system failures, third-party blocking or filtering, legal or regulatory actions, and any other consequences arising from your use of our Services. The entire risk as to the quality and performance of our Services remains with you.

11. LIMITATION OF LIABILITY

Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIRED TECH LLC, ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE LESSER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00), OR (B) THE TOTAL AMOUNTS PAID BY YOU TO WIRED TECH LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Essential Terms and Exceptions

You acknowledge and agree that these limitations of liability are essential terms of these Terms and that we would not provide our Services without such limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. Nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Wired Tech LLC and its officers, members, managers, employees, agents, affiliates, licensors, and contractors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to: (a) your violation of these Terms or applicable law; (b) your use of our Services, including any Prohibited Use; (c) your violation of any third-party rights, including intellectual property rights, privacy rights, or other proprietary rights; (d) any content or data you transmit through our Services; (e) any activities of your users, employees, agents, or anyone accessing our Services through your account; or (f) any breach of your representations and warranties under these Terms.

You specifically agree to indemnify us for any claims, fines, penalties, or enforcement actions brought by telecommunications carriers, platform operators, government agencies, regulatory bodies, or third-party service providers arising from your use of our Services. This indemnification obligation will survive any termination or expiration of these Terms.

13. DISPUTE RESOLUTION

Governing Law

These Terms and any dispute arising out of or related to these Terms or our Services shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles. This choice of law is intended to provide consistent interpretation and enforcement of these Terms.

Mandatory Arbitration

Except for disputes seeking injunctive or other equitable relief or disputes that may be brought in small claims court, any dispute arising out of or related to these Terms or our Services shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the county of our principal place of business in North Carolina or another mutually agreed location.

The arbitrator shall have exclusive authority to resolve all disputes subject to arbitration, including disputes about the interpretation, applicability, enforceability, or formation of these Terms and the arbitrability of any claim. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees in arbitration unless the arbitrator determines that a party has substantially prevailed on its claims, in which case the arbitrator may award costs and fees.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WIRED TECH LLC EACH WAIVE THE RIGHT TO BRING CLAIMS ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED BASIS. CLAIMS MAY ONLY BE BROUGHT ON AN INDIVIDUAL BASIS. This waiver applies to class arbitration, class actions in court, and any other form of representative proceeding. If this class action waiver is found to be unenforceable, then the entire arbitration provision shall be null and void.

Injunctive Relief

Notwithstanding the arbitration provisions above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent imminent and irreparable harm, including for actual or threatened violations of intellectual property rights, security breaches, or misuse of our Services.

14. GENERAL PROVISIONS

Modifications to Terms

We reserve the right to modify these Terms at any time by posting an updated version on our Site with a new effective date. For material changes, we will endeavor to provide notice through your account or via email. Your continued use of our Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of our Services.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or labor disputes, shortages of transportation, facilities, fuel, energy, materials or equipment, and failures of telecommunications or information technology infrastructure.

Assignment and Transfer

You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. We may freely assign these Terms and our rights and obligations hereunder in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent, and the remaining provisions shall continue in full force and effect. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of the waiving party. The failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, any order forms, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Wired Tech LLC regarding our Services and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. Any terms and conditions contained in your purchase orders or other documents you submit are expressly rejected and shall not apply unless specifically agreed to in a writing signed by our authorized representative.

Survival

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, indemnification, warranty disclaimers, limitations of liability, dispute resolution, and these general provisions.
